Terms of the Relay Referral Program and Promotional Offer

These Terms of the Relay Referral Program and Promotional Offer (“Terms”) are made available by Relay Financial Technologies Inc. ("Relay" or "we"/"us"). This promotional offer is conditional on your acceptance of and compliance with these Terms below, as well as our Privacy Policy (https://relayfi.com/privacy) which governs our use of your personal information, and our Terms of Service (https://relayfi.com/terms) ("Terms of Service") which grants the rights to register for a Relay business chequing account ("Account") and to access the Relay financial services platform (“Relay Platform”), all of which are available on https://relayfi.com (the “Website”).

Promotional Offer

This promotional Relay Referral Program and promotional offer is only open to organizations that are existing users of Relay services, including but not limited to the Relay Platform (“Relay Users”) and where a Relay User refers a business that is not currently an existing user of Relay services (“Eligible Organizations”) to open a Relay Account. Relay User must refer the Eligible Organization by providing Eligible Organization with a personalized referral link, that is specific to each Relay User, as provided to Relay Users via email (“Link”). Where the Eligible Organization has (a) successfully registered for a Relay Account using the Link and opened a Relay Account during the Registration Period; and (b) both the Eligible Organization and the Relay User have deposited/maintained at least $100 USD within their Account prior to receiving the bonus, defined below, both the Eligible Organization and the Relay User will receive a one-time deposit of $50 USD to each of their respective Accounts. The one-time deposit of $50 USD may take up to fourteen (14) days after the Eligible Organization has deposited the requisite funds into their account.

This promotional offer is open to organizations that would like to invite one or more business owner peers to open a Relay business checking account. Both the referring and referred organizations will receive $50 USD once both organizations have added at least $100 USD to their Relay business checking accounts (the “Referral Bonus”). The $50 USD will be deposited directly into each organization’s Relay business checking accounts.

The $50 USD deposits may take up to fourteen (14) days after the Eligible Organization has deposited requisite funds into their Account.

For clarity, the $50 USD bonus will be deposited into each organization's Relay account when both organizations have funded their Relay business checking accounts.

This promotional Relay Referral program and promotional offer may, without advance notice, be terminated or suspended, in whole or in part, or modified in any way, at any time at Relay’s sole discretion.

Limitation of Liability

Disclaimer. There are no warranties or conditions (whether implied or arising by statute or otherwise in law or from a course of dealing or usage of trade) for the Relay Platform, services or support, and RELAY DISCLAIMS ALL STATUTORY OR IMPLIED WARRANTIES AND CONDITIONS INCLUDING WITHOUT LIMITATION THE CONDITIONS AND/OR WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY OR FITNESS FOR ANY PURPOSE, PARTICULAR, SPECIFIC OR OTHERWISE. Relay does not warrant that the functions contained in the Relay Platform will meet your requirements or that the operation of the Relay Platform will be uninterrupted.

UNLESS PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL RELAY OR ITS AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, WHETHER OR NOT FORESEEABLE INCLUDING WITHOUT LIMITATION, LOSS OF BUSINESS, LOST PROFITS OR REVENUE, OR FAILURE TO REALIZE EXPECTED SAVINGS, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF RELAY FOR DIRECT DAMAGES UNDER THIS AGREEMENT SHALL BE LIMITED TO THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE DATE ON WHICH THE CAUSE OF ACTION GIVING RISE TO THE LIABILITY AROSE. YOU WILL BE RESPONSIBLE FOR ANY LOSS, COST OR LIABILITY (INCLUDING REASONABLE LEGAL CHARGES) INCURRED BY US AS A RESULT OF YOUR FAILURE TO COMPLY WITH THIS AGREEMENT.

Waiver and Severability

The failure of Relay to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

Controlling Law and Jurisdiction

These Terms and any action related thereto will be governed by the laws of the Province of Ontario, Canada without regard to or application of its conflict of law provisions or your province or country of residence. All claims, legal proceedings or litigation arising in connection with these Terms will be brought solely in the Province of Ontario, Canada, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

Entire Agreement

These Terms, our Privacy Policy, and our Terms of Service are the entire and exclusive agreement between Relay and you regarding the Offer, the Website and Relay’s services and these Terms supersede and replace any prior agreements between Relay and you regarding the Website and Relay’s Services.

Program Violations – Bonus Forfeiture, Termination

Any violation or abuse of this program may result in the forfeiture of the Referral Bonus and/or program participation ineligibility for the Relay Platform. Relay reserves the right to limit, cancel, suspend, disqualify or revoke Referral Bonuses if Relay determines, or has reason to believe, in its sole discretion, that you are manipulating or otherwise abusing the process, fairness, or integrity of the program offer. Referral Bonuses earned through fraudulent activities or activities in violation of these Terms will be null and void and repayment may be requested by Relay.

Relay reserves the right to limit, cancel, suspend, disqualify or revoke Referral Bonuses if Relay determines, in its sole discretion, you have violated these terms and conditions, or if we restrict or close your account pursuant to our Terms of Service Agreement with you.
