REASONS TO BE PROFITABLE

OFFICIAL RELAY CONTEST RULES FOR THE RELAY SWEEPSTAKES AND RELAY JUDGED CONTEST (THE “OFFICIAL RULES”)

OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES (EXCLUDING ALASKA AND HAWAII) WHO ARE OVER THE AGE OF MAJORITY AS OF THE DATE OF SUBMISSION.BY ENTERING THIS PROMOTION, YOU REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS IN RULE 2 BELOW AND YOU ARE DEEMED TO HAVE READ AND TO ACCEPT AND AGREE TO BE BOUND UNCONDITIONALLY BY THESE OFFICIAL RULES. FAILURE TO COMPLY WITH THESE RULES MAY RESULT IN DISQUALIFICATION. VOID WHERE PROHIBITED BY LAW.


This Promotion is sponsored by Relay Financial Technologies Inc. (“Relay”) and is open to any Entrant (as defined below) who has entered a Submission. Any violation of these Rules may, at Sponsor’s discretion, result in disqualification. All decisions of the Relay or judges regarding this Promotion are final and binding in all respects.


  1. 1. PROMOTION PERIOD: The Relay Sweepstakes (the “Sweepstakes”) and Relay Judged Contest (“the Contest”) are promotions (together, the “Promotion”) that will begin at 12:01 Eastern Time (“ET”) on October 3rd, 2023 and will end at 11:59pm ET on November 12th,2023 (the “Promotion Period”) after which time the Promotion will be closed and no further entries shall be accepted. To enter, each Entrant must fill out the application available at the following link: https://relayfi.com/reasons-to-be-profitable, during the Promotion Period and follow the instructions to complete and submit the entry form with the application, as applicable.

  1. 2. ELIGIBILITY. To enter and be eligible to win, the Entrant must:
  1. i) Be an entity basedin USA; and
  2. ii) Be a small or medium enterprise registered to do business in the USA for profit with annual revenue of between [$ 1 USD (one dollar) and $100,000,000 USD (one hundred million dollars ).

Relay shall have the right at any time to require proof of identity and/or eligibility to participate in the Promotion. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to Relay for the purpose of the Promotion must be truthful, complete, accurate and in no way misleading. Relay reserves the right, in its sole discretion; to disqualify the Entrant, should such the Entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal or business details and/or information. While Relay is funding and facilitating the entirety of the Promotion, it is working collaboratively with Mike Michalowicz and Obsidian Launch. Relay reserves the right to share the Entrant’s contact information with the aforementioned collaborators and as otherwise described in the Privacy section below.  

  1. 3. HOW TO ENTER: No purchase necessary. All entries become the property of Relay and will not be acknowledged or returned.

RELAY SWEEPSTAKES

Entrant must submit a complete sweepstakes application to Relay, available at the following link https://relayfi.com/reasons-to-be-profitable (the “Sweepstakes Application”). The Sweepstakes Application requires that the Entrant must provide Relay with the required information, including but not limited to:

  1. (a) Entrant's name;
  2. (b) Entrant's legal business name;
  3. (c) Entrant's email address;
  4. (d) Entrant's phone number; and
  5. (e) Entrant’s website or social media account (where applicable).

Each Entrant can only fill out the Sweepstakes Application a single time. To gain additional entries to the Relay Sweepstakes, the Entrant may carry out any of the following: 

  1. (a) Open up a verified Relay chequing account (“Relay Account”) to obtain five (5) entries to the Relay Sweepstakes;
  2. (b) Posting a video recording on social media of the Entrant stating the reason that they want to be profitable. The video must be posted on any of the following social media platforms: X (Twitter), Facebook, Instagram, LinkedIn or TikTok and Entrant must tag Relay social media accounts (@bankwithrelay) and include the hashtags #ReasonsToBeProfitable #RelayContest. This will provide the Entrant with an additional five (5) entries to the Relay Sweepstakes. For clarity, the maximum number of additional entries that an Entrant can obtain by posting on social media is five (5). For example, where an Entrant posts videos to two social media sites, such as Facebook and TikTok, the Entrant will only receive a total of five (5) additional entries.

Alternative methods of gaining additional entries.

At the discretion of the Entrant, they may choose to use alternative methods of entry (AMOE) in order to gain up to a maximum of ten (10) additional entries. They may gain an additional five (5) entries by “liking” or “sharing” one of the launch posts for the Promotion that will be posted from Relay’s official company social media accounts. These include:

The Entrant may also gain an additional five (5) entries by signing up to Relay’s newsletter, On the Money, which can be found by following this link: https://relayfi.com/blog/on-the-money-news.

Note that the Entrants may receive a total of no more than eleven (11) entries during the Promotion Period by combining the methods of entry described above. Alternative methods of entry cannot be combined with the standard methods to achieve more than eleven (11) entries.

Limit: Only one (1) Sweepstakes Application per business entity in the Relay Sweepstakes during the Promotion Period. All Entrant information, including names, telephone numbers and e-mail addresses may be used by Relay and specifically, may be provided to third parties by Relay.  

RELAY JUDGED CONTEST

Where an Entrant has entered into the Relay Sweepstakes, and has successfully filled out the Sweepstakes Application, the Entrant may enter the Relay Judged Contest.

To enter the Relay Judged Contest, the Entrant must submit: (a) a completed Sweepstakes Application; (b) open and be approved for a Relay Account; and (c) the Entrant must submit answers to the questions, available at this link https://relayfi.com/reasons-to-be-profitable and outlined below:

  • How does the Entrant’s business reflect the core values of the Relay Judged Contest?
  • The core values of the Relay Judged Contest are:
    • Impact: What kind of impact is the entrants trying to create in the wider community? How does the business serve others?
    • Financial sustainability/profitability: What steps has the entrant business taken to build a lasting, sustainable, profitable business? What is the biggest financial lesson you’ve learned from your business?
    • Grit: How did the entrant get to where they are today? What major challenge has the entrant’s business experienced in the past year and how did they overcome it?
    • Innovation: What is the entrant doing differently in your business to stay ahead, stand out, and tap into new potential?
    • Future plans: What are the entrant’s goals? If they were to be a winner, how would they use the resources?
    • Storytelling: What does the entrant’s business do? What is the story behind it? How did it start and what is their mission?
    • Reasons to be profitable: In summary to all of the other questions, what are the key “reasons why” the entrant strives to run a financially sustainable, profitable business?

Limit: Only one (1) entry per business entity in the Relay Judged Contest during the Promotion Period. All Entrant information, including names, telephone numbers and e-mail addresses may be used by Relay and specifically, may be provided to third parties by Relay.  

  1. 4. PRIZES: After the Promotion Period, Relay will randomly select fifty (50) winners of the Relay Sweepstakes; and three (3) winners (a Grand Prize Winner, a Second Prize Winner and a Third Prize Winner) selected for the Relay Judged Contest as outlined in section 4 hereto. All federal, provincial, state or other taxes that may apply due to the receipt of a prize are the sole responsibility of the individual who receives that prize.  The prizes will be delivered to the winner as set out below:  

RELAY SWEEPSTAKES

Relay will randomly select fifty (50) winning entries from the Relay Sweepstakes entries at random. Each Entrant that is a selected winner of the Relay Sweepstakes will receive a prize of $500 USD to their Relay bank account. If the winning Entrant does not have a Relay Account and does not open a Relay Account within five (5) days of being declared a winner of the Relay Sweepstakes, the prize will be mailed to the Entrant by cheque.

RELAY JUDGED CONTEST

Relay’s panel of judges will select three (3) winning entries, a Grand Prize Winner, a Second Prize Winner and a Third Prize Winner, from the Relay Judged Contest entries based on the criteria listed in section 5 hereto. Each respective winner of the Relay Judged Contest will receive a prize in accordance with the prizes listed below.  

Grand Prize Winner (Total Value: $51,315 USD)

  1. i) $50,000 USD in cash which will only be administered to the Entrant’s Relay Account.
  2. ii) One-year exclusive membership to the Legacy League (https://mikemichalowicz.com/join-the-legacy-league/), which is a monthly membership program run by Mike Michalowicz 
  3. iii) A copy of  Mike Michalowicz’ 9 books
  4. iv) A copy of Tiny Business, Big Money by Elaine Pofeldt
  5. v) A copy of The Bad Bitch Business Bible by Lisa Carmen Wang
  6. vi) 1 hr assessment call with a Profit First Professional for accounting, bookkeeping and cash flow
  7. vii) A year of a subscription to Relay Pro paid by Relay on your behalf

Second Prize Winner (Total Value: $15,275 USD)

  1. i) $15,000 USD in cash which will only be administered to the Entrant’s Relay Account.

  4. iv) A copy of The Bad Bitch Business Bible by Lisa Carmen Wang

  1. 5. WINNER SELECTION FOR THE RELAY JUDGED CONTEST:

After the end of the Promotion Period, each entry in the Relay Judged Contest will be judged based on the below criteria by a panel of at least 5 judges including those listed below:  

  1. i) Mike Michalowicz;
  2. ii) Elaine Pofeldt;
  3. iii) Lisa Carmen Wang,
  4. iv) Brian Thompson, and
  5. v) Ron Saharyan.

Judging will consider the following criteria when deciding the winners:

  1. (a) Impact: What kind of impact is the entrants trying to create in the wider community? How does the business serve others?
  2. (b) Financial sustainability/profitability: What steps has the entrant business taken to build a lasting, sustainable, profitable business? What is the biggest financial lesson you’ve learned from your business?
  3. (c) Grit: How did the entrant get to where they are today? What major challenge has the entrant’s business experienced in the past year and how did they overcome it?
  4. (d) Innovation: What is the entrant doing differently in your business to stay ahead, stand out, and tap into new potential?

  7. (g) Reasons to be profitable: In summary to all of the other questions, what are the key “reasons why” the entrant strives to run a financially sustainable, profitable business?

  1. 6. WINNER NOTIFICATION:

RELAY SWEEPSTAKES
On November 17th, 2023, fifty (50) potential winners of the Relay Sweepstakes will randomly be selected by Relay. From November 20th to November 30th, 2023, Relay, acting reasonably, will attempt to contact the three potential winners of the Relay Sweepstakes (“Relay Sweepstakes Winner Notification”). The selected Entrants must confirm receipt of the Relay Sweepstakes  Winner Notification, and complete all steps outlined therein including the completion of a release and indemnity form (if requested by Relay). In the event a potential Relay Sweepstakes Winner cannot be contacted by 11:59:59 PM ET two (2) days after the Relay Sweepstakes Winner Notification or if there is a return of any notification as undeliverable, or otherwise does not meet the eligibility or applicable requirements, that selected Relay Sweepstakes Winner may be disqualified in Relay’s sole discretion and Relay reserves the right, in its sole discretion, to select another Entrant randomly from the Relay Sweepstakes until such time as an Entrant satisfies the terms set out herein, or there are no more eligible entries, whichever occurs first. Relay is not responsible for the failure for any reason whatsoever of a selected Entrant to receive notification or for Relay to receive a selected Entrant’s response. 

RELAY JUDGED CONTEST
On November 17

th, 2023, the three potential winners of the Relay Judged Contest will be selected by the panel of judges based on cumulative scores. From November 20th to November 30th, 2023, Relay, acting reasonably, will attempt to contact the three potential winners of the Relay Judged Contest (“Relay Judged Contest Winner Notification”). The selected Entrants must confirm receipt of the Relay Judged Contest Winner Notification, and complete all steps outlined therein including the completion of a release and indemnity form (if requested by Relay) [and be approved and open a Relay Account in order to receive a prize]. In the event a potential Relay Judged Contest Winner cannot be contacted by 11:59:59 PM ET two (2) days after the Relay Judged Contest Winner Notification or if there is a return of any notification as undeliverable, or otherwise does not meet the eligibility or applicable requirements, that selected Relay Judged Contest Winner may be disqualified in Relay’s sole discretion and Relay reserves the right, in its sole discretion, to select the Entrant with the next highest entry score in the Relay Judged Contest until such time as an Entrant satisfies the terms set out herein, or there are no more eligible entries, whichever occurs first. Relay is not responsible for the failure for any reason whatsoever of a selected Entrant to receive notification or for Relay to receive a selected Entrant’s response. 

No correspondence will be entered into except with Entrants requesting these Official Rules by mail or requesting the name(s) of the winners for which a self-addressed, postage paid envelope must be included. Requests should be addressed to Relay at 60 Adelaide Street East, Suite 700, Toronto, ON M6H 1B1.


  1. 7. RELEASE: By entering the Promotion, the Entrant agrees to release and to hold the Releasees harmless from any and all liability for any injuries, loss or damage of any kind to the Entrant or any other person, including personal injury, death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any Prize, participation in the Promotion, any breach of the Official Rules, or in any Prize-related activity. The Entrant agrees to fully indemnify Relay, and the Releases from any and all claims by third parties relating to the Promotion, without limitation.

In the event the potential Judged Contest Winner or Sweepstakes Winner does not comply with all the provisions as contemplated in the  Official Rules, Relay shall have the right to disqualify the potential Winner and draw an alternate potential Winner. Relay shall be fully and completely released and discharged from any liability or responsibility in this regard. The provisions and procedures referred to above relating to selection and notification of a potential Prize winner shall be applied, with the necessary amendments, until a qualified Prize winner has been duly selected.

Relay assumes no responsibility or liability for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete entries, notifications, responses, replies or any Release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of an entry. Relay is not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the administration of the Promotion. Relay assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Relay is not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, applications or browsers, on account of technical problems or traffic congestion on the Internet, at any website or application, or on account of any combination of the foregoing or otherwise. Relay is not responsible for any injury or damage to the Entrant or to any computer related to or resulting from participating or downloading materials in the Promotion. The entrant assumes liability for injuries caused or claimed to be caused by participating in the Promotion, or by the acceptance, possession, use of, or failure to receive any Prize. Relay assumes no responsibility or liability in the event that the Promotion cannot be conducted as planned for any reason, including those reasons beyond the control of Relay, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Promotion, the Promotion website(s) and/or the Promotion application(s). Relay assumes no responsibility for entries which fail to comply with the Official Rules. Relay assumes no responsibility for any failure of Relay’s website or application during the Promotion Period, including any problems or technical malfunctions of any computer on-line systems, servers, computer equipment, software, failure of any e-mail, notification or entry to be received on account of technical problems or traffic congestion on the Internet, any website, any application, or any combination thereon.

Relay reserves the right, in its sole discretion to terminate the Promotion, in whole or in part, and/or modify, amend or suspend the Promotion, and/or the Official Rules in any way, at any time, for any reason without prior notice.


  1. 8. PUBLICITY: Unless prohibited by law, the Winner agrees that by accepting a Prize, Relay may use the Winner’s name, city of residence, biographical information, prize information and/or statements about this Promotion for publicity purposes with no compensation, notification or permission.

  1. 9. TAMPERING: All entries are subject to verification. By participating in the Promotion, the Entrant agrees to be bound by the Official Rules. The Entrant further agrees to be bound by the decisions of Relay, which shall be final and binding in all respects. Relay reserves the right, in its sole discretion, to disqualify any Entrant found to be: 
  1. 1. violating the Official Rules;
  2. 2. tampering or attempting to tamper with the entry process or the operation of the Promotion, the Promotion website, the Promotion application or any related promotional website or application; 
  3. 3. using any automated, script, macro, robotic or other program(s) to enter or otherwise participate in the Promotion; or
  4. 4. acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. 

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE PROMOTION WEBSITE, THE PROMOTION APPLICATION OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, RELAY RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING BUT NOT LIMITED TO CRIMINAL PROSECUTION.


  1. 10. RELAY MARKS: All intellectual property, including but not limited to, trade-marks, trade-names, logos, designs, promotional materials, web pages, source codes, drawings, illustrations, slogans and representations used in connection with the Promotion are the property of Relay and/or its affiliates. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.

  1. 11. PRIVACY: By entering the Promotion, the Entrant understands and agrees that Relay may collect, use and disclose their personal information to conduct the Promotion and contact the potential Winners. Personal information includes any information that can be reasonably linked to a specific individual, including name, postal address, and telephone number. Relay may also use names and e-mail addresses of Promotion Entrants for future marketing solicitations by Relay, unless the Entrants opts out of such marketing uses. Any questions regarding Relay's Privacy Policy (https://relayfi.com/privacy) or the treatment of your personal information under this Promotion should be directed to Relay at 60 Adelaide East, Suite 700, Toronto, On, M5C 3E4.

  1. 12. CONSTRUCTION: The Promotion is void where prohibited by law and is subject to all applicable federal, state and municipal laws and regulations. The Official Rules are subject to change without notice in order to comply with any applicable federal, provincial and municipal laws or the policy of any other entity having jurisdiction over Relay. All issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules or the rights and obligations as between the entrant and Relay in connection with the Promotion shall be governed by and construed in accordance with the laws of the state of New York including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. All dollar amounts referred to in the Official Rules are stated in US Dollars.

Invalidity or unenforceability of any provisions, in part or in full of these Official Rules shall not affect the validity or enforceability for the remainder of the rules. The Official Rules shall be interpreted as if the invalid or unenforceable provisions were not included, should such provisions exist.

In the event of any discrepancy or inconsistency between the terms and conditions of the Official Rules and disclosures or other statements contained in any Promotion related materials, including but not limited to the Promotion entry form, or point of sale, television, print or online advertising, the terms and conditions of the Official Rules shall prevail, govern and control.


  1. 13. INTELLECTUAL PROPERTY AND RELEASE. By entering the Promotion and submitting an application, each Entrant:

  1. (a) Grants to the Relay a worldwide, non-exclusive license to publish, display, reproduce, modify, edit or otherwise use the information contained in the application, including but not limited any written or video submissions, in whole or in part, for advertising or promoting the Promotion, the Sponsor, or for any other reason;
  2. (b) Hereby waives all moral rights in and to his or her data in the application in favour of Relay (and anyone authorized to use the information by the Sponsor); and
  3. (c) Agrees to release, indemnify and hold harmless the Relay and its agents, employees, directors, successors, and assigns (collectively, the “Releasees”) against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property-related cause of action. For greater certainty, the Relay reserves the right, in its sole discretion, to modify, edit, or remove, any application, or to request Entrant to modify or edit his or her Submission, if a complaint is received with respect to the Submission or for any other reason.

For clarity, the results of each Entrant application may be used by Relay and Relay may share the information collected with third parties.  


  1. 14. DISCLAIMERS. Relay assumes no responsibility for and under no circumstances will Sponsor, its agents, employees, contractors and assigns be liable to any person or business entity for any direct, indirect, special, incidental, consequential or other damages based on any Entrant’s participation in the Promotion, including for: (i) entries which are incomplete, unintelligible, lost, late or misdirected;  (ii) technical failures of any kind, including but not limited to failure of the Internet during the Promotion Period, any problems, failure or technical malfunction of any telephone network or lines, online or electronic systems, servers, access providers, computer hardware or software,  incomplete, garbled or delayed Internet/e-mail computer transmissions on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof or other failures related to hardware, software or virus; (iii) unauthorized human intervention in any part of the entry process or the Promotion; (iv) technical or human error related to the administration of the Promotion or the processing of entries; (v) any injury, loss or damage of any kind which may be caused, directly or indirectly, in whole or in part, from participation in the Promotion by any Entrant, use or misuse of the Prize or any part thereof; (vi) any use of the Website or any other website to which the Website is linked (including without limitation any injury or damage to an Entrant’s or any other person's computer relating to or resulting from participation or downloading any materials in this Promotion); or (vii) any Entrant’s failure to abide by the Official Rules.  The limitations of liability set out in this Rule 6 apply, without limitation, to any lost profits, and will apply even if Relay has been specifically advised of the possibility of such damages.

  1. 15. GOVERNING LAW. By participating in this Promotion, you agree to be bound by these Official Rules.  All decisions of the Relay with respect to any aspect of the Promotion and these Official Rules, including, without limitation, the eligibility of entries and the winners are final and binding on all Entrants.  The laws of the Province of Ontario, excluding its provisions on conflict of laws, shall govern this Promotion.   All disputes arising out of or connected with this Promotion will be resolved individually, and without resort to class action, exclusively by a court located in Toronto, Ontario Canada with respect to any matter arising hereunder or related hereto.  These Official Rules state all of the terms and conditions governing the Promotion.  

  1. 16. CHANGES AND CANCELLATIONS.  Relay reserves the right without prior notice, to cancel, terminate, modify or suspend the Promotion if, for any reason, the Promotion is not capable of running as planned or if the administration, security, fairness, integrity, or proper conduct of the Promotion is corrupted or adversely affected, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond its control.  In the event of cancellation of the electronic portion of the Promotion, Relay may randomly select a winning entry from all eligible Entries received prior to cancellation.  Relay reserves the right to amend the Official Rules without prior notice if any factor interferes with the proper conduct of the Promotion as contemplated by these Official Rules. Should multiple users of the same e-mail account enter the Promotion and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said e-mail account at the time of entry will be considered the Entrant.  “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address.
